WHAT HAPPENED

The IRS revoked your tax-exempt status. Here’s what that means.

Auto-revocation happens when a nonprofit fails to file Form 990 for three consecutive years. The IRS strips your 501(c)(3) status automatically — and the consequences hit immediately:

  • Your nonprofit is no longer considered charitable — you lose the legal designation that sets you apart.
  • Donations are no longer tax-deductible — donors may stop giving, and those who do lose their write-off.
  • You’ll be taxed like a for-profit — income, property, and sales tax exemptions disappear.
  • Grant funding dries up — most funders require active 501(c)(3) status to release awards.
  • State consequences compound — many states automatically dissolve or penalize revoked nonprofits.
  • Your revocation is public — it appears on the IRS Exempt Organization database for donors and funders to see.
Not sure if you’ve been revoked? Check your organization’s status on the IRS Exempt Organization Search. If your status shows “Auto-Revoked,” we can help.

THE 8-STEP PROCESS

We’ve done this 3,000+ times. Here’s how it works.

A dedicated Nonprofit Specialist manages your case from intake to IRS approval. Here’s what we handle:

  • Assess your revocation impact. We evaluate your situation at both the federal and state level.
  • Review your current standing. Together, we discuss your organization’s status and history.
  • Build a plan of action. We provide expert advice and a clear path to reinstatement, tailored to your situation.
  • Prepare your reinstatement application. We handle Form 1023 or 1023-EZ — whichever applies.
  • Prepare and file missed 990s. We compile your financials and backfile all missing tax returns.
  • Handle state compliance. We prepare documents for your home state, foreign-registered states, and solicitation states.
  • Represent you with the IRS. We present your case and answer all questions on your behalf.
  • Resolve remaining concerns. We address any outstanding compliance issues before you’re done.
Timeline: Paperwork takes 15–20 business days. IRS approval ranges from 2–6 months (Form 1023-EZ) or 6–9 months (standard Form 1023). Retroactive reinstatement to the date of revocation may be available.

COMMON QUESTIONS

Frequently Asked Questions

Can our organization still receive donations while revoked?
Yes, but donations made during the revoked period may not be tax-deductible for your donors unless retroactive reinstatement is approved.
Is our revocation public?
Yes. The IRS maintains a public Automatic Revocation List showing organizations whose status has been revoked for failure to file required returns. Your revocation is visible through the IRS Tax-Exempt Organization Search tool until reinstatement is approved.
What date will our reinstated status take effect?
If you qualify for retroactive reinstatement, the effective date will be the date of revocation — meaning no lapse in tax-exempt status. Otherwise, your exempt status begins on the date the reinstatement application is submitted to the IRS.
Can organizations lose their status even with very little revenue?
Yes. Filing requirements generally apply regardless of revenue level unless your determination letter specifically states otherwise.
What happens if reinstatement is denied?
If reinstatement is not approved, income earned during the revoked period may be treated as taxable. Contributions received after revocation are not tax-deductible for your donors.
How long does the reinstatement process take?
Our paperwork typically takes 15 to 20 business days. IRS approval ranges from 2 to 6 months for Form 1023-EZ and 6 to 9 months for standard Form 1023.
